§ 1 Scope
These General Terms and Conditions (GTC) apply to all contracts between Booklera UG (haftungsbeschränkt), represented by die Geschäftsführerin Nadine Glamngiw, Landsberger Straße 155, Haus 1, 80687 München (hereinafter “Provider” or “Booklera”) and the customer (hereinafter “User”) concerning the use of the Booklera SaaS platform (hereinafter “Platform”).
The Platform is aimed at commercial providers from the following sectors (so-called “verticals”):
- Tradesperson — Trade businesses of all crafts (roofers, painters, electricians, plumbing, drywall, tilers, landscaping, etc.) for digital job, quote, construction documentation and accounting management.
- Fitness — Fitness studios, yoga studios, personal trainers, dance schools and comparable class providers for managing classes, bookings, multi-passes and payments.
- Alternative practitioners — Alternative practitioners, therapists and comparable providers with appointment and patient management.
- Holiday homes — Landlords of holiday homes and holiday apartments with multi-day bookings and deposit handling.
- E-commerce — Operators of online shops selling to consumers and business customers, with warehouse and shipping handling and invoicing.
Deviating terms and conditions of the User are not recognized unless the Provider expressly agrees to their validity in writing.
§ 2 Conclusion of contract and company data
The offer on the booklera.de website constitutes a non-binding invitation to the User to register for the Platform. The contract is concluded by:
- The User's registration via the sign-up process on booklera.de, including the provision of name, email address, company name, chosen subdomain slug and the selection of the vertical (trades, fitness, alternative health, holiday home or e-commerce).
- The Provider's confirmation email, which confirms the conclusion of the contract and contains the access data.
By registering, the User confirms that they have read and accept these GTC. The contract comes into effect when the confirmation email is sent.
2.1 Complete company data as mandatory information
During signup, Booklera deliberately collects only the data necessary to start the trial (name, email address, company name, subdomain). However, before activating a paid plan and before creating the first outgoing invoice, the following complete company data is mandatory:
- Company name in its registrable form
- Legal form (e.g. GmbH, GbR, e.K., sole trader, freelancer, AG, UG, OHG, KG)
- Complete business address (street, house number, postcode, city, country)
- Telephone number
- Tax number or VAT identification number (USt-IdNr.) — one of the two is mandatory (Section 14 UStG)
- Authorized representative for legal entities (GmbH, AG, UG, OHG, KG, eG, foundation etc.) — managing director, board or comparable
- Customer type selection: B2B (entrepreneur within the meaning of Section 14 BGB) or B2C (consumer within the meaning of Section 13 BGB) — see Section 6 for the consequences
As long as this data has not been fully recorded, the plan purchase is technically blocked; the User is informed of this in the admin panel with a banner. For existing customers who already have a plan but incomplete data, a period of 30 days from the request applies; after expiry of the period, the creation of further outgoing invoices is technically blocked until completion. The User is obliged to update changes to their company data in the admin panel without delay.
§ 3 Service description
Booklera provides the User with a web-based SaaS platform. The range of functions depends on the plan and vertical. The functions listed here are exemplary and not exhaustive; the current status is documented on booklera.de.
3.1 Platform functions (all verticals, Basic plan and higher)
- Tenant website under a subdomain (e.g. my-business.booklera.de) with design editor (colors, fonts, logo, hero image, 6 templates).
- Own domain with SSL (from Pro) — automatic DNS verification and Let's Encrypt certificate via the Hetzner DNS API.
- Administration area with role-based access (owner, master, foreman/admin, employee/trainer/journeyman).
- Customer management with automatic customer number, GDPR export per customer, anonymization function (Art. 17 GDPR).
- Contact form on the tenant website with GDPR notice.
- Online booking or enquiry intake via the tenant website.
- Stripe integration for online payments via Stripe Connect (1.5% platform fee per transaction, uniform for online and POS).
- Team management with email invitations (token-based, valid for 7 days), role changes, member removal.
- GDPR tools: Data export, audit log, 30-day soft delete upon termination, anonymization functions.
- Support ticket system directly from the admin panel to the Booklera team.
- E-invoice: XRechnung (EN 16931 / UBL 2.1 CII) and ZUGFeRD/Factur-X (PDF/A-3 with embedded XML) — mandatory for B2B from 2025.
3.2 Functions for trades (vertical “Trades”)
The trades vertical is the most extensive of the five verticals and is aimed at trade businesses of all crafts. It includes in particular:
3.2.1 Job management and quotes
- Jobs with status tracking (open → quote sent → commissioned → in progress → completed → cancelled), customer assignment, priorities, categories, documents/attachments, material and labour cost aggregation.
- Job templates for recurring jobs.
- Job ZIP export (Business) GoBD-compliant with all documents as a complete archive.
- Quotes with line items (quantity, unit price, total price), PDF export, auto-save as draft, keyboard workflow, non-binding quotes.
- Contact enquiry dashboard with a trade-specific contact form (postcode, service, urgency, description) on the tenant website.
- Auto-quote from contact enquiry (Pro+) with optional AI bill-of-quantities generator.
3.2.2 Costing, materials and accounting (Pro and higher)
- Auto calculation with average wage, wage overhead factor, site overheads, general business overheads, risk and profit — fully traceable price calculation.
- Contribution margin signal green/yellow/red per line item.
- Service catalogue with parts list generator and 1-click costing.
- DATANORM material catalogue (DATANORM v4) — import of supplier data, price updates, manual material recording per job.
- GAEB DA-XML: X83 import (read tender), X84 export (deliver quote), X86 import (create job), fuzzy matching, learning catalogue.
- Post-costing: Target (quote) vs. actual (time tracking + material) with overrun warning.
- Payment reminders with three levels (payment reminder → dunning → final dunning), automatic default interest (B2C 6.27% / B2B 10.27%, configurable), €40 flat fee for B2B.
- Interim invoices pursuant to Section 14 UStG, final invoice with deduction list, reverse charge Section 13b UStG.
- Open items list with aging buckets, partial payments in five methods, dashboard KPI.
- DATEV-Export (CSV) for the tax advisor, GoBD-compliant, with period filter.
- Accounting: Income, expenses, advance VAT return, 15 trade-specific expense categories, receipt archive.
3.2.3 Planning board, time tracking and employees (Pro and higher)
- Planning board with week view, drag and drop, multi-day assignment, auto-split job, click-to-edit, done button with automatic working time booking, hours warning in case of overload.
- Weather integration for planning board entries (Open-Meteo, rain warning).
- Route optimization per day (Business) via Google Maps link.
- iCal subscription per employee with token rotation, subscribable in Google/Apple/Outlook calendars.
- PDF weekly plan for the workshop wall (A4 landscape).
- Time tracking: manual entry, punch card mode, GPS geolocation (with GDPR consent), wage hourly rate per employee, payroll assistant (Pro+), employee profitability analysis (Business).
- Absences: Holiday, sickness, public holiday, off, training — per user or tenant-wide.
3.2.4 Construction documentation (9 phases, Pro and higher)
The construction documentation consists of nine legally integrated phases and is documented in a court-proof manner (BGB Section 640, VOB/B Sections 3 and 12, GoBD Sections 146 and 147 AO):
- Phase 1 — Defect register: Defects per job with status workflow, before/after photos, deadline tracking, responsibility assignment.
- Phase 2 — Construction diary: daily entries with auto-fill from the planning board (attendees, weather, hours), canvas signature of the site manager, SHA256 hash, GoBD trigger after finalization.
- Phase 3 — Daily construction report: Customer report PDF and weekly report PDF with email dispatch and audit log.
- Phase 4 — Site meeting minutes: Minutes with to-dos, multiple canvas signatures per participant, 3-level hash consistency.
- Phase 5 — Acceptance protocol pursuant to BGB Section 640 and VOB/B Section 12: partial acceptances, warranty calculation (default 5 years, BGB Section 634a), double canvas signature, residual defect multi-select, cross-job warranty dashboard.
- Phase 6 — Supplements pursuant to VOB/B Section 2 with consecutive number, five status levels, “create as quote” flow.
- Phase 7 — Safety & occupational protection: Risk assessment (ArbSchG Section 5) with 132 templates for 159 trades, instructions (DGUV V1 Section 4) with multiple signatures, operating instructions, test reports (DGUV V3), accident workflow with automatic reporting obligation check (Section 193 SGB VII) and official accident report PDF, annual instruction reminders, countdown banner.
- Phase 8 — Construction docs center: Cross-job dashboard with six KPI cards and cross-entity table.
- Phase 9 — Compliance infrastructure: 10-year GoBD archiving, immutable audit log, job ZIP export with SHA256 index.
3.2.5 Measurement, fleet, warehouse and suppliers
- Measurement centre (Pro): manual area calculation in the browser, rooms, walls, openings.
- Photo measurement (Pro): photo + reference measurement for exact area calculation.
- Vehicle management (Business): master data (registration plate, type, TÜV, insurance, UVV), daily inspection checklist, TÜV/UVV warnings 30 days in advance, driver's log (business/private/commute).
- Warehouse and suppliers (Business): warehouse management, supplier CRM, order proposal generator.
3.2.6 Cross-tenant features: trades pool and transport marketplace
- Trades pool (Pro read, Business post): cross-tenant network for trades among themselves with connections, seeking and offering signals, related-trades matching.
- Transport marketplace (Pro bid, Business post): material transport requests between trade businesses, subcontractor mode, offer bidding system.
When using these cross-tenant features, the User's data is made visible to other users of the platform (e.g. company name, trade, signal content, address where provided). For details, see the privacy policy.
3.2.7 Invoices, templates and compliance
- Invoice templates: Basic 1 standard template, Pro 6 designs with colour theme, Business 6 designs with custom font and SEPA QR code (EPC069-12).
- XRechnung EN 16931 / UBL 2.1 CII and ZUGFeRD/Factur-X with PDF/A-3 and embedded XML.
- Leitweg-ID for public authorities, multiple VAT rates per invoice, automatic invoice numbers.
- Custom domain with SSL via Hetzner DNS API + Let's Encrypt (Pro+).
- White-Label (Business): no “Powered by Booklera” footer, own terms and privacy texts.
3.3 Functions for fitness (vertical “Fitness”)
- Class management with bookings, calendar, waitlists and automatic move-up.
- Multi-passes and flexible credit system (Pro): different classes can cost different numbers of credits.
- Reviews and star system (Pro).
- Studio-specific accounting with invoices and multi-pass sales.
3.4 Functions for alternative practitioners (vertical “Alternative health”)
- Appointment and patient management with treatment duration slots.
- Individual treatment appointments (instead of group classes).
- Vertical-specific roles (practitioner instead of trainer).
3.5 Functions for holiday homes (vertical “Holiday home”)
- Multi-day bookings (nights instead of class participations).
- Deposit handling via Stripe.
- Arrival/departure data and occupancy calendar.
3.6 Functions for online shops (vertical “E-commerce”)
- Online shop with product catalogue, variants, categories, search and shopping cart.
- Sales to consumers (B2C) and business customers (B2B) with their own customer account, approval procedure, customer groups and tiered prices.
- Order processing with payment via Stripe as well as purchase on account, partial and full shipping, tracking, returns and credit notes.
- Invoices and credit notes including electronic invoicing (ZUGFeRD/XRechnung) and DATEV export for accounting.
- Warehouse and goods receipt management, delivery note capture via photo or PDF, stock keeping with document reference.
- Shipping zones and shipping methods with country-dependent prices.
- Deliveries to countries outside the EU: automatic treatment as a tax-exempt export delivery (Section 4 No. 1a in conjunction with Section 6 UStG), generation of commercial invoice and customs declaration CN23 as well as management of customs tariff numbers and countries of origin.
- Notice function on turnover thresholds in the destination country: The Provider provides maintained reference values for selected countries and points out when a registration obligation may arise in the destination country. These notices are non-binding orientation aids and do not replace tax advice. The examination and fulfilment of tax obligations abroad is solely the responsibility of the User.
- Product reviews by end customers; each review only becomes publicly visible after express approval by the User.
- Vertical-specific roles: owner, shop manager and warehouse team.
The User operates the online shop in their own name and for their own account. Vis-à-vis their end customers, they are solely responsible for the accuracy of product, price and shipping information, for their own terms and conditions, the cancellation policy, the base price information under the Price Indication Ordinance and for all tax and customs obligations. Booklera merely provides the technical tools and text fields for this.
3.7 Till / point of sale (Pro and higher, all verticals)
On-site card payment via Stripe Terminal with card reader management, connection token generation, PaymentIntent creation, invoice assignment and receipt printing. The income runs in the same Stripe account as online payments. The platform fee of 1.5% applies uniformly to POS and online payments.
3.8 AI-supported features
Booklera operates several AI-supported features exclusively on a local AI language model that runs entirely on a server of Hetzner Online GmbH in Germany. No data whatsoever is transmitted to external AI providers (e.g. OpenAI, Google, Anthropic, Microsoft). The open-source model used is operated under the designation qwen2.5:14b (as of April 2026; the model is updated regularly following an internal re-check procedure). The AI-supported features are marked as such in accordance with the EU AI Act (Art. 52).
The following AI features are available — availability and the monthly quota depend on the plan (see Section 4):
- AI assistant (admin panel): Operating-help chatbot for the admin panel.
- AI customer chat (FAQ bot): answers questions from end customers on the tenant website (Pro+).
- AI invoice scanner (Business): Tesseract OCR + AI extraction (supplier, amount, date, category) from photos and PDFs.
- Universal-Scan (Pro+): receipt, invoice, delivery note OCR.
- AI quote generator (Pro+, trades): free text or voice → complete bill of quantities.
- AI voice measurement (Pro+, trades): dictate measurements via Web Speech API, AI extracts and calculates.
- AI time tracking (Pro+, trades): summarize the working day verbally, AI extracts entries with fuzzy matching to jobs.
- Construction docs autopilot (Pro+, trades): AI structures voice notes into construction progress reports.
The AI results are suggestions and not guaranteed or legally binding information. Responsibility for the accuracy of the data entered or used lies with the User. The monthly AI quotas are counted per calendar month and tenant-wide (all team members share the pool); unused quotas are not carried over to the following month.
3.9 Security
- Two-factor authentication (2FA): Mandatory for platform admins (Booklera-internal access); opt-in for tenant owners with a gentle email and banner reminder after 14 days of account age. Method: TOTP per RFC 6238 with ten single-use recovery codes.
- Multi-tenant isolation via row-level security (RLS + FORCE) on 22+ database tables. Access to other tenants' data is technically impossible.
- Password hashing with bcrypt (rounds = 12).
- CSRF protection on all writing routes, IP- and user-based rate limiting.
- Account lockout after five failed attempts for 15 minutes.
- Granular cookie consent pursuant to GDPR Art. 7 with audit trail (see privacy policy).
- HSTS, X-Frame-Options, Content-Security-Policy, automatic tenant cleanup jobs (GDPR-compliant).
§ 4 Plans and prices
The Platform is offered in four plan levels. Prices vary by vertical because the ranges of functions differ. All prices are monthly net prices in euros plus the applicable statutory VAT.
4.1 Prices per vertical

When choosing annual billing, the User receives two months free of charge (equivalent to about 17% discount; annual price = monthly price × 10).
The Enterprise plan is an “on request” plan without a public price and is agreed individually by the Provider. Contact: enterprise@booklera.de.
4.2 Range of functions by plan
The exact functional delineation of the four plans is transparently presented on the website and forms part of these GTC. Key points:
- Basic: Tenant subdomain, core functions per vertical (trades: jobs, quotes, manual time tracking, XRechnung/ZUGFeRD), up to 2 team members, AI assistant with 20 requests/month.
- Pro: all Basic functions plus own domain with SSL, complete construction documentation (trades, 9 phases), auto-costing, GAEB, DATANORM, dunning, DATEV export, email system, till (POS), AI customer chat (500 requests/month), AI assistant (200 requests/month), up to 5 team members, 1 master role, AI specialists (quote, measurement, time tracking, construction docs, universal scan) with quotas per feature.
- Business: all Pro functions plus dynamic sections, parallax, upload your own videos (up to 100 MB/video), AI invoice scanner, audit log view, own terms and privacy texts, multi-domain (.de + .com), job ZIP export, custom invoice template with custom font and SEPA QR, fleet, warehouse, suppliers, order proposal, cross-tenant posting (trades pool, transport marketplace), route optimization, employee profitability analysis, construction docs customer portal with digital signature, white label, up to 15 team members, 2 master roles, unlimited AI requests for admin chat and FAQ chat (AI specialists with higher quotas).
- Enterprise: all Business functions plus unlimited master roles and team size, unlimited AI quotas, extended storage and email quotas, dedicated account manager as well as individually agreed conditions and service levels.
The Provider reserves the right to further develop and expand the range of functions of the Platform. Significant restrictions of existing functions will be announced with 30 days' notice.
4.3 AI quotas per plan
The following monthly quotas apply tenant-wide (all team members share the pool). “∞” means unlimited. “—” means that the feature is not available in this plan.

4.4 Team member limits and downgrade rules
The following team size limits apply (including owner and open invitations — the latter count to prevent circumvention of the limit through advance invitations):
- Basic: 2 Team members
- Pro: 5 Team members
- Business: 15 Team members
- Enterprise: unlimited
A change to a lower plan is only possible if the current team size does not exceed the limit of the target plan. Existing team members are not automatically removed on a downgrade — the owner must manually reduce the team size or revoke open invitations beforehand.
4.5 Master/boss role limits (trades vertical)
The “master” or “boss” role has full rights in the trades vertical (accounting, subscription, team management) and is subject to an additional limit to prevent abusive splitting of a plan (in addition to the owner, who is always one):
- Basic: 0 masters (owner alone runs the business)
- Pro: 1 master
- Business: 2 masters
- Enterprise: unlimited
On a downgrade, existing master roles are grandfathered; new invitations or role upgrades are blocked until the limit is met.
4.6 Free trial period (trial)
Every new user receives a free trial period of 30 days from registration. No payment details or credit card are required.
- If the trades vertical is selected, the trial period is designed as a Pro trial — all Pro functions are available without restriction during the 30 days.
- For the other verticals (fitness, alternative health, holiday home, e-commerce), the trial period is designed as a Basic trial.
After the trial period expires, access to the Platform is blocked until the User chooses a paid plan. The data entered during the trial period is stored for a further 30 days. After this 30-day period expires without a plan being chosen, the data is irrevocably deleted.
§ 5 Design service (optional)
In addition to the SaaS platform, the Provider offers an optional design service. This comprises the professional design and setup of the tenant website by the Booklera team.
- Quick-Setup (149 €): Adaptation of an existing design template (colours, font, logo, hero image, texts).
- Premium-Setup (349 €): Quick setup plus professional image editing, parallax effects, offer cards, sections with gallery and video.
- Premium-Design (599 €): Premium setup plus individual colour concept, domain setup, SEO texts, social media linking.
- Custom-Template (799 €): Development of a new design template that is made available to all customers. The commissioning party receives a 20% discount on their package.
- Custom development (from €1,499): Completely individual design and development according to customer requirements. Price according to effort.
- Subsequent changes: €49/hour for design adjustments after completion.
The design service is a one-off service and independent of the chosen subscription plan. Commissioning takes place by email to info@booklera.de. The Provider endeavours to complete within 24-48 hours of the order being placed.
§ 6 Prices and payment
The currently valid prices are displayed on the booklera.de website. All prices are in euros (EUR) and, where legally applicable, plus the applicable VAT.
- Billing period: Billing takes place monthly or annually in advance (User's choice).
- Payment method: Payment is made via Stripe. Credit cards (Visa, Mastercard, American Express), SEPA direct debit and other payment methods supported by Stripe are accepted. For annual billing, the Provider grants two months free of charge.
- Platform fee: For payments processed via Stripe Connect (online bookings and on-site card payments via POS), Booklera charges a platform fee of 1.5% of the transaction amount. This is automatically retained by Stripe and forwarded to Booklera. The fee applies uniformly to all payment channels (online and POS).
- Late payment: In the event of late payment, the Provider reserves the right to temporarily block access to the Platform after a reminder with a 14-day period. The amount of statutory default interest pursuant to Section 288 BGB depends on the customer type stored in the account (see Section 2.1):
- B2C (consumer, Section 13 BGB): 5 percentage points above the base rate, no €40 flat fee, 14-day right of withdrawal (see Section 7).
- B2B (entrepreneur, Section 14 BGB): 9 percentage points above the base rate plus €40 default flat fee (Section 288 (5) BGB), no right of withdrawal as a commercial transaction.
If no customer type is specified, B2B applies in case of doubt (Booklera is a SaaS platform for commercial providers; the vast majority of users are entrepreneurs within the meaning of Section 14 BGB).
- Price changes: Price changes are announced by email with at least 30 days' notice and apply from the next billing period. In the event of price increases, the User has a special right of termination at the time the increase takes effect.
§ 7 Right of withdrawal
7.1 Cancellation policy for consumers
If the User is a consumer within the meaning of Section 13 BGB, they have a right of withdrawal pursuant to Section 355 BGB when concluding a contract online. The withdrawal period is 14 days from conclusion of the contract (confirmation email).
To exercise the right of withdrawal, a clear declaration (e.g. by email) of the decision to withdraw from this contract is required. To meet the withdrawal deadline, it is sufficient to send the withdrawal declaration in good time.
7.2 Expiry of the right of withdrawal
The right of withdrawal expires prematurely if the Provider has begun to provide the digital service and the User has expressly consented before the start of performance that the Provider begins with the performance, and has at the same time confirmed their knowledge that they lose their right of withdrawal upon complete performance of the contract by the Provider (Section 356 (4) BGB).
7.3 Consequences of withdrawal
In the event of an effective withdrawal, the payments received will be refunded without delay, at the latest within 14 days. The refund is made using the same means of payment that was used in the original transaction.
§ 8 Termination
The User can terminate the contract at any time with effect from the end of the current billing period. Termination can be effected via the administration area of the Platform or by email.
- Effectiveness: The termination takes effect at the end of the billing period already paid for. Until then, the full range of functions remains available.
- Data export: After termination, the User has 30 days to download their data via the GDPR export function (jobs, quotes, invoices, construction documentation, customer and supplier data, configurations). For trades, the job ZIP export (Business) or the complete GDPR export for all plans is additionally available.
- Data deletion: After expiry of the 30-day period, all tenant data is irrevocably and completely deleted (hard delete) — with the exception of the statutory retention obligations (see Section 12).
- Extraordinary termination: Both parties reserve the right to extraordinary termination for good cause. Good cause exists for the Provider in particular in the event of repeated violation of these GTC, unlawful use of the Platform or payment default of more than 30 days despite a reminder.
§ 9 Availability
The Provider endeavours to achieve an availability of the Platform of 99% on an annual average. Excluded from this are:
- Planned maintenance work announced at least 48 hours in advance by email or dashboard notification. Maintenance windows are preferably placed in low-traffic times (22:00 - 06:00 CET).
- Disruptions caused by force majeure, third-party attacks (DDoS, hacking), disruptions of the internet backbone or other circumstances beyond the Provider's control.
There is no entitlement to a specific availability. The Provider is not liable for damage caused by temporary unavailability, unless the cause was caused intentionally or through gross negligence by the Provider. Availability is monitored by an additional external monitoring between two independent servers.
§ 10 Data protection and data processing on behalf
The Provider processes personal data of the User and their end customers in accordance with the General Data Protection Regulation (GDPR) and the German Federal Data Protection Act (BDSG). Details on data processing are described in the privacy policy: Privacy Policy
Since the Provider processes personal data of the User's end customers (and, where applicable, of employees and subcontractors for trade tenants) in the context of platform use, the User concludes a data processing agreement (DPA) pursuant to Art. 28 GDPR with the Provider upon registration. The DPA regulates in particular:
- Subject matter and duration of the processing
- Nature and purpose of the processing
- Categories of data subjects and personal data
- Technical and organizational measures (TOMs)

§ 11 Obligations of the User
The User undertakes:
- Correct information: To provide truthful and complete information during registration and use and to keep it up to date. This applies in particular to company name, legal form, business address, telephone number and authorized representative. The User may not use any identifiers, company names or trademarks of third parties to which they have no rights — neither as a subdomain nor as a business or company name.
- Access security: To treat their password confidentially and not to pass it on to third parties. The Provider strongly recommends activating two-factor authentication (2FA) in the account area.
- Lawful use: Not to use the Platform for unlawful, offensive, discriminatory or otherwise illegal content or purposes.
- Responsibility for end-customer and employee data: As controller within the meaning of the GDPR, to ensure that the processing of the personal data of their end customers, their employees and, where applicable, subcontractors is lawful, in particular that the necessary consents are obtained and information obligations are fulfilled.
- Compliance for trade tenants: When using the trade functions, the User is personally responsible for compliance with all industry-specific legal obligations — in particular GoBD (Sections 146, 147 AO), contract-for-work law (BGB Sections 631 ff., in particular Sections 640, 641, 645, 648a), VOB/B, occupational safety (ArbSchG, DGUV regulations), employers' liability insurance reporting obligations (Section 193 SGB VII), HOAI, VAT law (in particular Sections 13b, 14, 14a UStG) and any other trade-specific regulations. Booklera provides tools for this (see Section 12) but does not provide legal, tax or safety advice.
- No overloading: Not to use the Platform in a way that impairs operation for other users (e.g. through automated mass requests).
- Backups: To create their own backup copies of important data, although the Provider performs regular backups (multi-layered backup concept, see privacy policy).
In the event of a breach of these obligations, the Provider is entitled to temporarily block access to the Platform or to terminate the contract extraordinarily. In the event of false, incomplete or misleading information on identity, company or address, or the use of third-party identifiers, the Provider may block access, including the associated email mailboxes and the subdomain, immediately and without prior notice. The User will be informed of the block by email and given the opportunity to comment.
§ 12 Compliance standards and range of functions
Booklera supports compliance with the following German and European legal standards through corresponding technical tools. Booklera is a software tool — not legal advice, tax advice, safety advice or an architect's service. The legal responsibility for compliance with these standards lies entirely with the User; the Provider is not liable for content that the User creates or publishes in the Platform.
- DSGVO and BDSG: Data protection tools, data processing agreement (DPA) pursuant to Art. 28 GDPR, tenant separation via row-level security, audit log, anonymization (Art. 17), access export (Art. 15, 20), 30-day soft delete, right to complain to the competent supervisory authority.
- GoBD (§§ 146, 147 AO): Immutability of finalized documents through database triggers, 10-year archiving of the central construction files, SHA-256 hash on content and metadata, complete audit log, job ZIP export for external audits.
- BGB contract-for-work law: Acceptance protocol pursuant to BGB Section 640 with double canvas signature, warranty period calculation (default 5 years pursuant to BGB Section 634a, freely selectable 0.5–10 years), residual defect takeover, cross-job warranty dashboard.
- VOB/B: Construction diary pursuant to VOB/B Section 3 (contract execution), supplements pursuant to VOB/B Section 2 (remuneration), acceptance protocol pursuant to VOB/B Section 12 (acceptance) including partial acceptances.
- ArbSchG § 5: Risk assessment with 132 templates for 159 trades.
- DGUV V1 § 4: Employee instructions with multiple canvas signatures, annual reminder worker job, employee instruction history as audit evidence (traffic light green/yellow/red per employee).
- DGUV V3: Test reports for portable electrical equipment.
- § 193 SGB VII: Employers' liability insurance accident reporting obligation with auto-check (incapacity > 3 days / death / serious injury), official accident report as PDF in the official form layout, countdown banner.
- § 14 UStG (Interim invoices): Partial and final invoices with correct handling of prepayment and remaining amounts in XRechnung.
- § 13b UStG (Reverse-Charge): Tax liability of the service recipient in construction services.
- GAEB DA-XML: Standardized exchange of tenders, quotes and orders (X83 / X84 / X86) with fuzzy matching against the service catalogue.
- DATANORM 4 and 5: Industry standard for material and price data from suppliers.
- XRechnung EN 16931 / UBL 2.1 CII: Mandatory for B2B invoices from 2025; Booklera supports this in all plans from Basic.
- ZUGFeRD / Factur-X: Hybrid PDF invoice (PDF/A-3 with embedded XML).
- Leitweg-ID: for public authority invoices (public clients).
- EU AI Act (Art. 52): Transparency obligation for AI-supported features — all AI tools are marked as such in the admin panel (purple badge), contain result disclaimers, and the model used and the place of operation are disclosed in the privacy policy.
Note: The up-to-dateness of the supported standards (e.g. new versions of XRechnung or updates to DGUV regulations) is continuously maintained by the Provider. Significant changes are documented in the admin panel. The User is responsible for having the specific application reviewed by a lawyer or tax advisor in individual cases.
§ 13 Limitation of liability
The Provider is liable without limitation for damage resulting from injury to life, body or health based on an intentional or negligent breach of duty by the Provider or its vicarious agents, as well as for damage based on intent or gross negligence.
In the event of a slightly negligent breach of essential contractual obligations (cardinal obligations), liability is limited to the foreseeable damage typical of the contract. Essential contractual obligations are those whose fulfilment makes the proper execution of the contract possible in the first place and on whose observance the User may regularly rely.
Otherwise, liability for slightly negligent breaches of duty is excluded. Liability under the Product Liability Act remains unaffected.
The Provider is not liable for the content that the User publishes on their tenant website or for the lawfulness of the business relationship between the User and their end customers, employees or subcontractors. In particular, the Provider is not liable for the legal effectiveness of documents created in the system (quotes, invoices, acceptance protocols, accident reports, risk assessments, etc.) — these must be checked by the User for suitability in the individual case.
The above limitations of liability also apply in favour of the Provider's vicarious agents.
§ 14 Changes to the GTC
The Provider reserves the right to amend these GTC with effect for the future, insofar as this is reasonable for the User taking into account the interests of the Provider. The User will be informed of changes by email at least 30 days before they take effect.
If the User does not object to the amended GTC within 30 days of receipt of the notification of change, the amended GTC are deemed accepted. In the notification of change, the Provider will specifically inform the User of the significance of the 30-day period, the right to object and the legal consequences of silence.
If the User objects to the amended GTC, the contract continues under the previous conditions. In this case, the Provider reserves the right to ordinary termination at the next billing period.
§ 15 Place of jurisdiction and applicable law
The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). The place of jurisdiction is Munich, provided the User is a merchant, a legal entity under public law or a special fund under public law, or has no general place of jurisdiction in Germany. Otherwise, the statutory provisions on jurisdiction apply.
§ 16 Severability clause
Should individual provisions of these GTC be or become invalid, this shall not affect the validity of the remaining provisions. The invalid provision shall be deemed replaced by a valid provision that comes closest to the economic sense and purpose of the invalid provision. The same applies to any gaps in these GTC.
§ 17 Online dispute resolution
We are neither obliged nor willing to participate in dispute resolution proceedings before a consumer arbitration board.
